1. Service Description
Flow is a data synchronisation service operated by SJ Finance Services Ltd ("we", "us", "our") that connects your Xero accounting software to Microsoft Excel. Flow reads financial data from your Xero organisation and makes it available in a structured database that your Excel workbooks can query directly.
Flow is an independent product and is not affiliated with, endorsed by, or sponsored by Xero Limited. Xero is a registered trademark of Xero Limited.
2. Account Registration
- You must have a valid Xero account to use Flow.
- You authenticate via Xero single sign-on (SSO).
- You are responsible for maintaining the security of your account credentials.
- You must be authorised to access the Xero organisations you connect to Flow.
3. Data Access and Usage
- Flow accesses your Xero data in read-only mode. We never create, modify, or delete data in your Xero account.
- Data synced includes: trial balances, invoices, chart of accounts, and contacts.
- Your data is stored securely in Azure SQL Database (UK regions) and is accessible only to you via your unique database credentials.
- You retain full ownership of your data at all times.
4. Xero Connection
- By connecting your Xero account, you authorise Flow to access the financial data scopes required for the service (trial balances, invoices, accounts, contacts, and organisation settings).
- You can disconnect any Xero organisation at any time from the Flow dashboard. Disconnecting removes all synced data for that organisation.
- Xero may also initiate disconnections, which Flow will process automatically.
- Your use of Xero is subject to Xero's own Terms of Use.
5. Subscriptions and Billing
- Flow offers a 14-day free trial. No payment is required during the trial period.
- After the trial, a paid subscription is required to continue using the service.
- Subscription plans: Standard (up to 5 organisations), Plus (up to 30 organisations), and Premium (up to 60 organisations).
- Payments are processed securely by Stripe. We do not store your payment card details.
- Subscriptions renew monthly. You can cancel at any time through the billing portal.
- Prices are displayed in GBP and are exclusive of VAT where applicable.
6. Service Availability
- We aim to maintain high availability but do not guarantee uninterrupted service.
- Data syncs run automatically on a daily schedule. Sync timing and frequency may vary.
- We may perform maintenance that temporarily affects service availability.
- The service depends on Xero's API availability, which is outside our control.
7. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose.
- Attempt to access data belonging to other users.
- Share your database credentials with unauthorised parties.
- Reverse-engineer, decompile, or attempt to extract the source code of the service.
- Use automated tools to abuse the service or Xero API rate limits.
8. Limitation of Liability
Flow is provided "as is" without warranty of any kind. To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, or consequential damages arising from your use of the service.
- We are not responsible for the accuracy or completeness of data synced from Xero — the source data is maintained in your Xero account.
- Our total liability is limited to the fees you have paid in the 12 months preceding the claim.
9. Account Deletion
You can delete your account at any time from the Flow dashboard. Account deletion permanently removes all your data including connected organisations, synced financial data, and database credentials. This action cannot be undone. Your Xero data is not affected.
10. Termination
We may suspend or terminate your account if you breach these terms, fail to pay subscription fees, or use the service in a manner that threatens its integrity or the security of other users. We will provide reasonable notice where possible.
11. Changes to Terms
We may update these terms from time to time. We will notify you of significant changes by email. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
